Welcome to Citadela Circle. These Terms & Conditions ("Terms") govern your access to and use of the Citadela Circle platform at circle.citadela.ae ("the Platform"). By applying for membership or using the Platform, you agree to be bound by these Terms.

1. Eligibility

You must be at least 18 years of age to apply for and use Citadela Circle.
You must provide accurate, truthful information during the application process.
Membership is subject to application review and approval at our sole discretion.
A verification video call may be required before membership is granted.
Each person may hold only one account.

2. Membership & Fees

Citadela Circle is a paid membership community. Fees, billing cycles, and payment terms will be communicated to you during the approval process or at the point of subscription.
Membership fees are non-refundable except as described in our Refund Policy (Section 3).
We reserve the right to change membership fees with reasonable notice. Existing members will be notified of any fee changes at least 30 days in advance.
Failure to pay membership fees may result in suspension or termination of your account.

3. Refund Policy

New members may request a full refund within 30 days of their first payment if they are not satisfied with the service.
Refund requests must be submitted via the Concierge service or by email to circle@citadela.ae.
Refunds will be processed to the original payment method within 14 business days.
After the 30-day refund window, membership fees are non-refundable.
If your account is terminated for breach of these Terms, no refund will be issued.

4. User Accounts

You are responsible for maintaining the confidentiality of your login credentials.
You are responsible for all activity that occurs under your account.
You must notify us immediately of any unauthorised access to your account.
Usernames cannot be changed after registration. Choose your username carefully.

5. User Roles

Citadela Circle operates with the following user roles:

Members — Approved individuals with full community access including the feed, messaging, professionals directory, marketplace, and concierge service.
Professionals — Approved service providers listed in the professional directory who can be contacted by members for advice and services.

We reserve the right to change, suspend, or revoke any user's role or access at any time.

6. Acceptable Use & Community Standards

As a member of Citadela Circle, you agree to:

Treat all members and professionals with respect and courtesy
Post only truthful, accurate content
Not engage in spam, harassment, bullying, or hate speech
Not share illegal, obscene, or harmful content
Not impersonate another person or misrepresent your identity
Not share other members' private information outside the platform
Not use the platform for any illegal or fraudulent activity
Not attempt to gain unauthorised access to other accounts or platform systems
Not use automated tools, bots, or scrapers on the platform

Violation of these standards may result in content removal, account suspension, or permanent termination without refund.

7. Content Ownership & Licence

You retain ownership of all content you post on Citadela Circle (posts, photos, messages).
By posting content, you grant Citadela Circle a non-exclusive, worldwide licence to display, distribute, and store your content for the purpose of operating the platform.
This licence ends when you delete your content or your account is closed, except where your content has been shared by other members or is required for legal compliance.
We reserve the right to remove any content that violates these Terms or our community standards.
We further reserve the right, at our sole discretion, to remove any content and suspend or terminate any account that we believe is inconsistent with the values and ethos of the Citadela Circle community, without obligation to provide a reason.

8. Marketplace

Citadela Circle provides a marketplace feature where members can list items for sale (e.g., motorhomes, yachts, holiday homes). Please note:

Citadela Circle is not a party to any transaction between members.
We do not verify, endorse, or guarantee the quality, safety, or legality of items listed.
Buyers and sellers are solely responsible for their transactions, including payment, delivery, and any disputes.
You must ensure that any items you list comply with applicable laws and regulations.
We may remove listings that we deem inappropriate or in violation of these Terms.

9. Professional Directory

Professionals listed in the directory have been vetted and approved by Citadela Circle. However, we do not guarantee the quality, accuracy, or reliability of their services or advice.
Any engagement with a professional is at your own risk and discretion.
Citadela Circle is not responsible for any loss, damage, or dispute arising from interactions with professionals.
Professionals are responsible for ensuring their services comply with all applicable laws and regulations.

10. Concierge Service

The Concierge service is provided as a convenience to assist members with questions and requests.
While we strive to respond promptly, we do not guarantee response times or specific outcomes.
The Concierge service does not constitute professional advice (legal, financial, medical, or otherwise).

11. Intellectual Property

The Citadela Circle name, logo, design, and all related branding are the intellectual property of Citadela Circle.
You may not reproduce, distribute, or create derivative works from any part of the platform without our written permission.
All platform code, design, and functionality remain our exclusive property.

12. Privacy

Your use of the platform is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information.

13. Account Termination

You may request to close your account at any time via the Concierge service or by contacting us directly.
We may suspend or terminate your account at our discretion for breach of these Terms, community standards violations, or any other reason we deem appropriate.
Upon termination, your access to the platform will cease immediately.
Your content may be retained for up to 30 days before permanent deletion, unless required by law.
No refund will be issued for accounts terminated due to Terms violations.

14. Limitation of Liability

The platform is provided on an "as is" and "as available" basis without warranties of any kind.
We do not guarantee that the platform will be uninterrupted, error-free, or secure at all times.
Citadela Circle shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the platform.
We are not liable for any interactions, transactions, or disputes between members or between members and professionals.
Our total liability to you for any claim arising from or related to the platform shall not exceed the amount you paid in membership fees in the 12 months preceding the claim.

15. Indemnification

You agree to indemnify and hold harmless Citadela Circle, its owners, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the platform, your content, or your violation of these Terms.

16. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated to members via email or a notice on the platform at least 30 days before they take effect. Your continued use of the platform after changes are posted constitutes acceptance of the updated Terms.

17. Governing Law & Disputes

These Terms are governed by and construed in accordance with the laws of the United Arab Emirates.
Any disputes arising from these Terms or your use of the platform shall be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to the competent courts of the United Arab Emirates.
